I comtemplated this same issue not too long ago, but in the end I didn't act fast enough and the e39 m5 sold.

I'd not be particularly interested in an E39 M5 at this point, and I'd also be concerned at a car that had seen such little service (approximately 3K per year). Few mainstream cars respond well to life as a garage queen, on the Porsche forums at least the perceived wisdom seems to be that cars that see regular use tend to be more robust than those that don't.
This man speaks great wisdom.
Stay clear of such a low mileage car.

I would do it IF it's a straight trade and you don't have to finance any portion of it. The E39 M5 is a great car, but I would not want to take on payments to get a 7 yr old car, just my .02
