Maybe there's less padding on the fold downs so the seats can fold down flatter.

HAHAHA yup of course... the fact that the dealer denied that or rather DIDNT know!!! drove me nuts... tried to sell me the next incomming car that has ALMOST my specs and said he'll throw in the Fold down seats for me for free and I told him I dont want it and he asked why...

Told him I'll be paying for somthing I rarely use (ie. they'll consider that as a $500 discount off the car), and somthing that i dont really want, and its probably less comfortable basing off the E39. but of course he argured its the SAME even for the E39... I cant say for the E60. So ya he lost my confidence in knowledge...

Just shows how sad I am.

I'm interested to know if there is actually any difference in fold-down and non-fold-down rear seats.

At the moment all I can say is that I haven't noticed anything wrong with the rear seats. In fact, there's only ONE seat in the car that I'm worried about, and it's not in the rear of the car.
