What should I be worried about

hello everyone,
I currently own a 2000 e46 323iT wagon that is getting a little old and needs to be replaced. My dealer has a 06 530xiT priced at 31k with 32k miles. It has every option that is available to that model:
sport package
premium package
cold weather package
DVD, Nav and Sat radio
Leather, comfort seats
Is there anything that I need to be looking for that should/needs to replaced?
Is there a reason that this car has depriciated almost 25k in 3 years?

If it's CPO, then its probably a safe deal.
