i saw an 08 w vented seats.
however mine has HUD and rear seat side air bags but NOT the higher spec sound system. i think that's an odd build.

I doubt they are bringing in the F10 wagons and the new 3 series wagons might not be available until 2014...

Update:
Dealer will sell the car for the residual 35,000 and include CPO. With CPO I can get 4 year financing at 0.9% I thinking I am going to do it.
Car has premium, cold weather and Nav.

Sounds ok but without the full list of options, or the original msrp, it's hard to know for sure. for me, things like higher grade leather, "comfort" seats, parking sensors, sport trim, etc all ad up to the value/price equation.
for comparison, my car msrp was almost $67,000. I bought it "out the door" including tags/license, 3% sales tax, cpo, new tires, 29k miles, for $39,000 - a whole year ago.

Other options parking sensors yes, no comfort seat or sport trim. I don't think that used car prices are impacted by a single special option. I would like comfort seats but it was not a deal breaker when I purchased/leased the car new or now. The price $35,000 +/- is about full retail. I think that the used wagons are selling at a slight premium vs sedans.

well, the first thing you'd hear on a higher priced one would be "fully optioned" and "lower miles" so those things are in fact part of the equation.
if yours is an automatic, they are not hard to find nationally. I've seen several, much higher optioned, listed at $35k, one recently, really sweet, in California.
I would tell them that and see what else is available in your area. they will benefit by giving you a better price rather than have it sit around for a month, maybe selling, when you are a for sure sale if they go lower.
try all that, and then if they really aren't budging, get them to include the maintenance plan out to 6/100 as well. that's at least worth actual cash to you and is less of an actual cost to them (their parts are marked up, labor, etc) on top of that, you can also negotiate a parts department credit, say $1000.
it's a great way for a dealership to compromise because you get more $ savings out of it than it costs them.

I purchased it and on the way to the dealer for CPO the reduce power light comes on. Hope this is not a bad sign.

did you not have the dealer do a buyers inspection? hopefully the light is due to the warrantied high pressure fuel pump because i don't think a dealer is going to cover things not under warranty before doing the cpo. guess you'll find out though.

The car is three years old so it covered by the basic coverage. When I shut off the car and restarted it was ok.

Well after a week of driving a Chevy SUV loaner I got my 535XIT back and it sure feels nice.
I ended-up getting for the residual price $35,200 and the dealer gave me CPO at no charge. I guess it was a ok deal and in any case it is nice to own my BMW wagon. They detailed the car for "free" my guess is that it part of cpo but in any case it looks good inside and out. As part of CPO I got 4 year 0.9% financing so my payment are almost the same as the lease payment. In four years I should have some equity.
The reduced power light was due to engine sensor. The car seems to be running much better, better than it has it quite a while, I was getting rough starts and it seems to idle/rum much smother. I would not be surprised if the fuel system causes problems again but I should be covered.
