Black 05 BMW 545i with 33k miles and original warranty to expire in August, non CPO but I can buy 3rd party extended warranty to it.
or
Same car with 53k miles CPO until 4/2011, no original warranty. Silver gray metallic.
Both cars are similarly priced and equipped.
I like the black car better and it looks cleaner in the picture but I m having a hard time deciding

Get the black one. 
From experience, buy the color you want when you have the opportunity. You don't want to regret it. And like you said you can always buy ext warranty later.

If you didn't have a color preference, I would go with the cleaner of the two. But since you like black, I would defintely go with the black one.
