Buying 2008 550i, What Option Package is Must?

Hello everyone.
I have decided sell my 2009 G37S and buy used 2008 BMW 550i.
I think, the "Must Options" for me are Sports, Premium, Navigation, Logic 7, Comfort Access, Cold Weather Package
I have narrowed down to two which has all of the above. and There are few difference between these two cars.
Car #1:
Has Head-up Display, Power Rear Sunshade, and Manual shade on door.
Car #2
Has Paddle shifts with "Sports" button, and Heated Rear Seat.
What would you say is more important to you?
I live in Atlanta, Pretty warm, but I ll need Heated seats in winter, not necessarily rear seats b.c I don't seat there but still.. lol
Car #1 is at 52k miles, expired warranty, asking $34,000 OTD including TAX FEES etc.
Car #2 is at 40k miles, 5 month, 10k miles warranty left, asking $36,500 OTD including TAX FEES etc.
Both clean Carfax, Autocheck, Great Condition.
Which car would you take?
Can I do better in price? These two cars are (from Autotrader) lowest price with lowest miles. and negotiated $800 to $1000 down in pricing already.

No question at all! Car #2 with the sport tranny, warranty, less miles!

Agreed with No. #2. 5 month with 10k miles warranty is a huge plus. Furthermore, it will be cheaper if you decide to get aftermarket warranty before the 4yr/50k runs out compared to No. #1.
I think that you should be able to drop down more than $1k on a $33k (before tax/reg cost). That's only a 3% discount that they are giving you.

My Ride: 2012 535i M-Sport
#2 is the smart bet - but either way you'll be fine. Seeing as you're coming from a G37 it is easy to assume you like sport driving at least on occasion. So go with the paddle shifters and sport tranny. HUD can be retrofitted

I'd go with car #2 as well for the warranty alone.
