This is a steal if everything is on the up and up with this car.
Galves market ready is like $31,000. Edmunds retail is $36,000.
Since it is out of warranty, I would bring it to the dealer for a thorough checkup before buying it.

The HPFP issue is related to an engine malfunction/limp mode warning to comes on in some of the N54 powered cars (i.e. 135, 335, 535 and x6 35i). While BMW has been trying to resolve the problem, thus far, they are still revising the solutions. Other related problems tied to that warning are fuel injectors. What is unknown is which car will develop the problem and which one will not. Some people have it and others do not.
My car has had that at around 17,000 miles for the HPFP and 22,000 miles for the fuel injectors. I am over 28,000 right now and thus far no problem. While it is an issue to be concerned, the 535 is a brilliant car and the engine is just awesome.

Common Issues
for N54 535's
HPFP (all N54's, Some never have issues, mine had 5 in 10 months, others have 1-3 a year, no true fix....)
Injectors (can be tied back to the HPFP or LPFP very expensive to replace)
LPFP ( some N54's)
Turbo lag , depending on soft ware revision and CPU version
High Batt discharge ( it happens alot on a bunch of E60/1
Transmission Slam ( I think its more apparent on low gears on regular Step boxes)
"Lunge/hang" from dead stop on SAT trans ( related tot he Hill hold)
AC/heat issue ( check Idrive settings to resolve)
Sunroof leaks ( usually not in the interior but ends up in trunk where a ton of the electronics are this can be a nightmare if out of warranty ( $3000 in parts weeks of labor to fix))
Same as above with rear window seal ( lift up trunk carpeting and pull spare tire out to look at the electrical distribution box/cpu... look for standing water of corrosion on the leads, also check the batt well on the right hand side and the radio stuff on the left side of the trunk.)
If it is a Sport package is the a ARS error up or in the idrive menu... the Active sway bars are very expensive to fix.
If it has the Ipod connector in the center arm rest does it sync with a iOS4 phone/pod... does it charge?
