Newbie need pricing info on 2005 545i (Bay area, CA, USA)

Hi,
I am a BMW newbie and am looking at 2005 545i with 20k miles with sports+Nav+logic7 options. The asking on that is 40K with warranty till end of 2008. This is from a small time dealer who gets cars from BMW financial's auctions. I am trying to get him to agree to 38K offer from my side.
Based on some comments on another forum, seems like he could have gotten the vehicle from anywhere around 33K to 36K (50-54% of original MSRP). Is that correct assumption ?? Is 38k offer reasonable ??
Also this vehicle is still under warranty/maintenance. How much will it cost to extend the warranty to 100K miles ? How about buying additional maintenance till 100K) ?? I that even an option to get that additional maintenance coverage ?

IMHO, it seems that $40K is a decent deal as long as the car has no accidents, flood damage etc. but I would try for $38K if possible. I would however prefer a post-week 9 2005 model as I believe they have some small improvements.
FYI - the residual on my leased 2005 545i ($65K MSRP) is about $39.5K after 36 months/36K miles.

Thanks lowOrbit. The production date on this vehicle seems to be 11/2004. Not sure if that has the improvements that you talked about. Do you know what kind of improvements went into it ??

I don't remember the details (maybe bluetooth?), but the week 9 improvements were pretty minor so if you can get a good deal on this car, I wouldn't worry about it.

My Ride: 2007 550i..... ex
Our website (www.bmwsf.com) shows that we have 2 545is in stock. An 04 Silver Gray and an 05 Black Sapphire. Both are steps with around 30k miles and both are under CPO coverage. The 04 I can try to help you get it below $40k, shouldn't be that hard I just have to go talk to my CPO manager, and the 05 545i will be closer to low to mid $40k. I'm not completely sure what the options are since I haven't checked, but if you're interested shoot me a PM or something and I'll get that info for you.
