I plan to sell my 05 545i 34k miles, Sports, Nav, Heated Seat, L7, PDC, M166 wheel, Rear spoiler, Window Tint, Warranty until May 09.
What would be a fair price to sell the car?

I cant really help with the price, but do you have another photo that shows the shadowline trim. I have a silver E60 and have been debating this upgrade for quite some time...

26k is a good place to start, if you have the two things above, then I would say 27k max

Yeah-you're setup is similar to mine. Unfortunately, with those kinda miles - you're looking at 24-26K private party sale. The dealership will prob give you around 18-22K best case scenario...... G-luck with the sale tho!

Saturday I am picking up my 545. 2004, 58k miles, CPO and maintenance included until 9-30-2010. Cold Weather package, fold-down rear seats, sport package, premium sound, NAV, rear sunshades (power rear manual sides), and heated rear seats. With the CPO and extended maintenance, I'm paying $24k.
I'd say given that your car is a year newer, fewer miles, but then a warranty that's almost up, no CPO (and presumably no extended maintenance), $24-25k private party would be about right.
