CPO or Extended Warranty

My Ride: -2004 BMW 545i. Silver Grey Metalic. with Black Int.: Sport, Navigation, Cold Weather, Comfort Seats, Logic 7, Heated Rear Seats, MP3 Retrofit. (Production date: Jan 2004)
-2002 Porsche 911 Cabriolet. Seal Gray with Black Int. & Top: Tiptronic, Heated Seats, Bose Sound.
I'm about to make an offer on an 08 M5 single owner car with 44K miles. (Not currently CPO)
The original warranty and service expired in a month (end of Jan 2012).
I looking for some guidance on the following:
1. The BMW dealership said they can CPO the car for 3K or I can purchase other extended warranty options. Any recommendations here?
2. I reviewed the repair history and it looks like the plugs were replaced at 28k miles, but the brakes or SMG clutch has not bee touched. The dealer said the brakes are at 50%.
a. Is it normal for the brakes to be at 50% at 44K miles?
b. When will the SMG clutch need to be replaced?
c. Are both these items covered on the extended scv plan?
This car has more miles than what I'm looking for, but the price is good and it seem well taken care of.

you're gonna have to do some research yourself to answer your own question, and you can start here:

read the above and see "what's covered" and "what's not covered"
then, look at the prospectus' of various after-market warranty's and compare, prices of each too
