where are you finding these engines? just curious.

Also because you have an engine ticking you are getting a new engine?
couldn't you resolve this for less than 5.9k ?

good luck man.
since the car run out of warranty, The repair (independent and European specialist) quoted me: about $4k and at the Dealer $about $7K. That is changing the lifters and other parts.

So I would prefer to get a new engine.

The price is $5900 + Shipping ($300) + labour (??) + Ecu reprogram (about $300)= about $7.5K.... maybe less or more....in which it is not bad.

I wish a DIY to change the lifters but I need special tools and it is a complex work. However the car runs actually pretty smooth and fine with the sound is more alike a diesel (ticking noise)

Plus it is overmileage too....

It is hard to make a decision: sell it as is then buy another e60 (who wants with ticking noise?) or just repair it and I keep it for at least 2 - 3 more years or maybe sell after the repair (I will lose the money).....

Silly question, but who is giving the warranty for the new engine? I don't think the BMW warranty is still in effect once the engine is removed from the original car (which must have been totalled in a wreck?), but I could be wrong...

Good point!

Not from BMW of course!. . warranty (2 years!!) from the store that sell engines. They said that... in which I am not too sure.

Two things: over mileage and ticking noise
Not a bad price for the engine, but I am sure the installation cost will be relatively high, not to mention the hassles. I have done this in my youth on big old American muscle cars that where even easier, and it still was a hassle.

My big question is still why. A BMW engine does not really break-in until about 50k. If you are getting ticking noises at 77k, I would really put that question back to BMW. These engines should run strong well over 150k. And, for the money you pay for these cars, you should not have to consider swapping out an engine at 77k or even considering a valve job unless there was a defect with the engine.

Was there any engine problems recorded in the history of the vehicle with BMW. If there was, I would think BMW would contribute something.

Sometimes a slightly thicker oil will resolve ticking issues. Maybe try 5w40, I think the manual allows for this viscosity. Heck if you're considering an engine swap you could even try 5w50. The thicker oil film will cushion the moving parts better. just my 2 cents

Please explain the ticking noise more. Is it all the time or just when you start the car up?

What about replacing an 3.0 M54 with the 4.5 V8? Is this even possible?

Should be fine - so long as you're not trying to go from the 4.4 to the 4.8 (550i engine), it should be relatively 'plug-n-play'. But wow though - $5900 for an engine with only 7k on it? I'd buy that bastard, wrap and garage it til I run the hell outta the 77K engine. Install and have a nearly new 5er again (at least as far as power is concerned).
